Job Summary/Purpose:


By leading the SDZ Legal Transaction Teams, ensuring proper and timely Legal advice in the areas of M&A, Licensing Divestments, Alliances and, in general, as for those Business Development transactions undertaken by Sandoz in the Biopharma and Small Molecules areas.


Your Key Responsibilities

Your responsibilities include, but not limited to:

  • Provide support and legal strategic advice on the full cycle of BD opportunities (e.g. commercial M&A, divestments, in-licensing and alliances) engaged by Sandoz in both the Biopharma and Small Molecules areas. The role entails both operational and strategic support to key stakeholders, project management, responsibility and accountability on drafting and negotiating all deal-related legal documentation and contracts,
  • Ensure that legal risks and commercial/legal opportunities within SDZ are properly balanced, with sound risk management,
  • Counsel senior level executives and business teams within other functions on complex and sensitive legal and business issues, interact with other functions to support Business Partner training and counsel nonLegal associates,
  • Lead and manage lawyers, based in different locations and reporting within the relevant Practice Area either via solid or dotted line, ensuring proper allocation of legal support to global and regional BD deals,
  • Foster the Transaction Legal Network, proper information and best practices sharing across the Company,
  • Select external counsel, negotiate engagements jointly with Legal Operations, lead and manage external counsel resources efficiently,
  • Supports the Head of Global Legal Functions in the continuous creation and improvement of efficient and effective legal processes and best practices,
  • Anticipate and maintains uptodate knowledge of current laws relevant to own substantive area, provide strategic advice and foster compliance.

Minimum requirements

What you'll bring to the role: -
Legal degree and admission to bar; Qualified lawyer in at least one civil or common law jurisdiction,

  • Fluency in English, with strong verbal and writing skills; any further European language is an asset,
  • Lawyer with proven track record of successfully managing and advising on M&A, divestments, complex business development transactions and contractual matters,
  • 15+ years of legal experience in international law firm or as inhouse counsel of multinational companies,
  • Solid experience in pharmaceutical industry is required, along with robust understanding of industry regulatory environment,
  • Sound understanding of the business strategies and financial matters,
  • Solid experience in liaising and managing external counsels across multiple jurisdictions; Solid experience in project management is also required,
  • Solid leadership skills in managing and developing Teams. Ability to create a healthy and motivating environment,
  • Solutiondriven, pragmatic, dynamic, selfstarter, able to work independently in a dynamic, international environment,
  • Team player and able to smoothly build strong working relationships,
  • Strong communication skills, including convincing presentation skills, excellent interpersonal and relationship building skills with an ability to influence others.
