Control Risks is seeking an experienced junior in-house lawyer who is
excited to support an international business team in moving their business deals across the finish line. This role will join the Group Legal, Risk & Compliance ("LRC") Team and report to the Regional Counsel, EMEA. As a member of the LRC team, you will help service the contracting needs of our EMEA business entities.

We are looking for a highly motivated team player with excellent inter-personal and communication skills to join our team.

As part of the team, you will work collaboratively with other members of the LRC team, to help the business close deals, improve internal processes, and be a champion of integrity throughout the company.

You will have responsibility for reviewing, drafting and negotiation of client contracts in both German and English as well as providing support to our German offices on local law issues.


This unique in-house opportunity is ideal for a junior lawyer who is a self-starter and works well independently, but also enjoys working as part of a team, is highly communicative and collaborative, and thrives on making an impact with low ego.

Draft, negotiate and advise the business, in relation to the whole spectrum of commercial contracting needs to support the full range of Control Risks' consultancy services across the EMEA region.


Tasks and Responsibilities

  • Advise German offices on local law issues_
  • Understand our business able to contextualize legal issues in a business environment to balance business objectives with acceptable legal risk.
  • Updating and maintaining all company documentation, for example, powers of attorney, board resolutions, licenses etc.
  • Contract drafting and negotiation
  • Advise the business in relation to all aspects of agreeing contract terms with clients and suppliers, effectively balancing the contractual exposure of the business with the need to maintain good working relationships with counterparties (clients, suppliers, subcontractors etc.).
  • Issue spotting_
  • Identify appropriate contractual mechanisms and solutions to suit a variety of situations and relationships.
  • Problemsolve against a broad mix of commercial and legal issues, counterparty types and geographies.
  • Articulate clearly to business colleagues the risks attendant on particular contracts or contractual positions and advise accordingly, taking a riskbased approach in recommending how best to proceed.
  • Effective communication and collaboration_
  • Communicate effectively (both face to face and in writing) with business colleagues, members of the Legal Risk & Compliance team and third parties (including, in particular, clients' legal, procurement and business teams).
  • Understand when appropriate escalation is required and when to take direct ownership.
  • Assist Regional Counsel, EMEA with ongoing special projects as needed.

Requirements:


  • Previous demonstrable experience of German laws, specifically in the areas of the German civil code, commercial law, employment law and German privacy laws.
  • Professional fluency in English and German.
  • Law degree
  • Professional legal qualification
  • Credible, handson, inhouse experience of working independently in a comparable role in a commercial organisation.
  • Demonstrated experience in drafting and negotiating commercial contracts in both German and English and familiarity of key legal terms (including an ability to explain legal concepts in plain English to nonlawyers).
  • Significant exposure to a range of negotiated contractual positions concerning core areas, such as: payment terms, liability caps, liquidated damages, confidentiality, IP (ownership and licensing), data protection, antibribery / anticorruption, warranties, indemnities, guarantees, force majeure, governing law and jurisdiction.
  • Comfortable with a variety of common contract types including: contracts for provision of services (such as MSAs, general / special terms and conditions, purchase orders / call offs / work orders); corporate documentation (such as NDAs, MOUs, referral agreements, collaboration, teaming and consortium agreements); bid documentation (such as RFPs / competitive tender packages and associated documentation including guarantees, bid / performance bonds); contracts governing other third party relationships (including suppliers, subcontractors); templates and precedents; etc.
  • Comfortable with drafting transaction documentation such as shareholder agreements and corporate documentation such as board resolutions, board minutes.
