Your Tasks:

Advice on capital market and corporate law issues. (For example, resolution drafting, restructuring advice and implementation, intercompany agreements, articles of association, rules of procedure, powers of attorney, and so on.)
Planning and supervising general meetings (creation of documents, agendas, shared responsibility for holding the meeting)
Legal implementation of joint ventures and M&A transactions
Implementation of the company's strategic focus on innovative business areas and future strategies
Assistance with the company's international expansion initiatives (advice/establishment of new subsidiaries, branches, and joint ventures with strategic partners).
Participation in management reports, document preparation, and inhouse legal training (e.g. compliance, insider law, joint ventures, etc.)
Communicating with financial supervisory authorities under capital market law in Germany and the United States, including monitoring the fulfilment of followup obligations under capital market law (insider reports, proprietary trading by executives, etc.)
Establishing and maintaining relationships with senior management, business functions, and customers in order to make informed business decisions
Identifying, monitoring, and mitigating legal risks, as well as monitoring the corporate risk management system (external legal advisors, notaries, authorities).

Requirements:

-Legal training successfully completed with the 2nd state examination or comparable qualification

Proven international orientation of legal education or professional experience abroad
Several years of professional experience and very good knowledge of corporate law, commercial

law; Capital Markets Law (US) desirable

Prior experience dealing with financial and M&A transactions, particularly in US jurisdictions, would be advantageous.
