Medicover is looking for an in-house Senior Legal Counsel (all genders) to support the M & A projects of its Diagnostic Services division.

The position will cover projects in jurisdictions with existing Medicover activities, but also facilitate market entries into new geographies.

As legal expert for healthcare and cross-border M & A, this international role works closely with the business leadership, headquarter staff and stakeholders from different countries.

This newly created position will be based in Berlin or Warsaw and report to the Divisional Legal Counsel.

Aufgaben

You should have:

- a law degree and bar qualification; additional foreign qualification, education or postgraduate degree is a plus;
- at least 8 years of experience from a law firm, focused on M&A and investments;
- solid knowledge of corporate and commercial law (legal knowledge relevant for entities active in the healthcare sector will be an additional advantage) in a cross-border context;
- a proven record in drafting and negotiating major contracts, including share purchase

agreements, asset transfer agreements, investment agreements, shareholder agreements, joint venture agreements, acquisition finance and similar types of agreements, in English and another European language;
- awareness of transaction-critical ancillary laws, such as competition, tax, employment, regulatory, data protection;
- experience in being in charge of projects and striving for completion;
- good commercial understanding and a genuine interest in getting closer to the commercial side of business;
- integrity and constant strive to learn and develop;
- good interpersonal and intercultural skills.

Qualifikation

You should be:

- fully fluent in English (both written and spoken), with good knowledge of German being a plus;
- computer literate and a very skilled user of Microsoft Word;
- able to quickly understand and analyze complex legal and business structures and transactions;
- result-oriented with a problem-solving ability while comfortable with making decisions and taking responsibility;
- able to see the big picture without losing focus on details and deal-specific challenges;
- pro-active and self-organised, diligent, attentive to details, and with a good sense for structure;
- able to work in a fast pace without compromising on quality;
- able to multi-task and to manage several projects at the same time;
- a team player who likes working in international and cross-functional teams, but also an independent self-starter when required;
- ready to travel for work within Europe.
