The Impact You'll Make in this Role
As a Senior Corporate Counsel, you will join the Securities and M&A team and will interact with and support various groups across the company, with a primary focus on corporate governance, M&A and global corporate legal matters.
As a Senior Corporate Counsel, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world.
Here, you will make an impact by:
- Providing counsel on corporate governance matters, European corporate legal and ESG matters, including preparation for Board meetings, preparing, managing and implementing corporate governance and related policies and preparing, managing and implementing corporate policies_
- Staying up-to-date and keeping Legal team advised on external governance trends, European corporate governance and ESG regulations, general legal issues and best practices_
- Providing legal training to members of management and business partners_
- Supporting M&A transactions, including working with Corporate Development on deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution_
- Providing support on corporate and other transactions and special projects_
To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:
- Juris Doctorate and profound experience as a corporate law generalist with experience in securities and M&A work
- Master's degree in law from an accredited institution
- Bar admission / Qualified to practice law in the country
- Proficiency in English, other languages are welcome
